Agreement to these Terms
These Terms of Service (the “Terms”) are a binding agreement between you and GoVendor Inc. and, when you use GoVendor Advance, GoVendor Advance LLC (collectively, “GoVendor,” “we,” “us,” or “our”). By accessing or using govendor.app, a GoVendor mobile application, GoVendor Advance, or any related product or service (collectively, the “Services”), you agree to these Terms. If you use the Services for a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.
If you do not agree, do not use the Services. A separate written agreement, financing agreement, receivables agreement, implementation agreement, or order form may apply to a specific service. If a separate signed agreement conflicts with these Terms, the separate agreement controls for that service.
Business use and eligibility
The Services are intended for businesses, government vendors, jurisdictions, and individuals acting for a commercial or governmental purpose. They are not offered for personal, family, or household use. You must be at least 18 years old, able to enter a binding agreement, and authorized to provide all information and documents submitted through the Services.
We may establish additional eligibility requirements for particular products, jurisdictions, payment methods, devices, or integrations. Access to one feature does not establish eligibility for any other feature or for capital.
What GoVendor provides
GoVendor Inc. may provide tools for scanning, digitizing, organizing, validating, storing, transmitting, and tracking government vendor documents and invoices, payment-disbursement functionality, and modular technology or API services for jurisdictions. GoVendor Advance LLC may provide contractor intake and referrals to independent finance and service partners for business-purpose funding, factoring, surety, and certification support. Features may change as the Services develop.
Unless GoVendor expressly agrees in writing, the Services do not make GoVendor your filing agent, accountant, attorney, financial adviser, procurement officer, or representative before a government entity. You remain responsible for confirming that a submission reached the correct jurisdiction and satisfies the applicable contract, purchase order, law, rule, portal, and agency instruction.
No government affiliation or endorsement
GoVendor is a private company and is not a government agency. GoVendor is not the State of Illinois, Michigan, Florida, any state procurement or payment office, or any city, county, municipality, department, authority, university, or other public body. References to a jurisdiction, public resource, contract, or payment system are for identification or educational purposes and do not imply sponsorship, endorsement, certification, or approval.
GoVendor Advance and business-purpose capital
GoVendor Advance provides intake and referral services. GoVendor does not make loans, purchase receivables, underwrite or approve financing, transmit or hold funding proceeds, or guarantee funding. Submitting an application, uploading an invoice, receiving a preliminary indication, requesting an introduction, or using a document workflow is not a commitment to provide capital. Each independent partner applies its own eligibility, verification, underwriting, approval, legal, and closing requirements.
Any transaction will be governed by a separate written agreement between you and the independent partner identifying the provider, transaction structure, pricing, advance amount, reserve, payment instructions, collateral, guarantee, recourse, assignment, and other material terms. Common labels such as invoice advance, invoice financing, receivables financing, working capital, bridge financing, or factoring do not determine the legal structure; the final agreement controls. Review that agreement carefully and consult your own advisers before acceptance.
GoVendor does not charge contractors an Advance application or matching fee, and you have no obligation to accept an introduction. GoVendor may receive a referral fee from an independent partner only if a referred transaction funds.
Timing and payment estimates
References to one to three weeks describe a potential GoVendor Advance partner-review and funding range for certain complete, eligible, verified, underwritten, and approved transactions. References to an 80–90% invoice advance describe a common eligible range. Neither timing nor advance rate begins or becomes available merely because an account is created, a document is uploaded, or an introduction is made, and neither is guaranteed. Documentation, agency verification, underwriting, legal review, contract restrictions, banking schedules, compliance review, and other factors may affect the result.
References to a 30–90 day government payment window describe a possible contractor planning range and are not a promise, official statewide average, or forecast for any particular invoice. Actual government payment timing varies by jurisdiction, contract, appropriation, documentation, acceptance, approval, dispute status, and payment process.
Your information and documents
You retain ownership of documents and business information you submit, subject to the rights needed for us to provide the Services. You grant GoVendor and its service providers a limited right to host, process, reproduce, transmit, validate, and otherwise use submitted content as necessary to operate, secure, improve, and support the Services and to evaluate or complete a requested transaction.
You represent that submitted information is accurate, current, complete, lawfully obtained, and not misleading; that you have the right to provide it; and that its use as contemplated by the Services does not violate a contract, confidentiality obligation, privacy right, intellectual-property right, or law. You must promptly correct inaccurate information and notify us of suspected unauthorized use.
Electronic communications and records
You consent to receive transaction, service, security, and account communications electronically at the email address, phone number, device, or account you provide. Electronic records and signatures may be used where permitted. You are responsible for maintaining accurate contact information and compatible hardware and software. Marketing communications, where used, will be subject to the choices and rights provided with those communications.
Account and document security
You are responsible for safeguarding credentials, devices, authentication methods, and access to your account. Do not share credentials or permit unauthorized users to access sensitive records. Notify support@govendor.app promptly if you suspect loss, compromise, unauthorized access, or an incorrect transmission.
GoVendor uses administrative, technical, and physical safeguards designed to protect information, which may include encryption and access controls. No system, transmission method, or storage environment can be guaranteed to be completely secure, uninterrupted, or error-free.
Acceptable use
You may not use the Services to submit false, forged, altered, duplicate, fraudulent, unauthorized, or misleading invoices or documents; impersonate another person or entity; violate procurement rules or law; infringe rights; distribute malware; probe or disrupt security; reverse engineer except where law prohibits restriction; scrape or overload the Services; bypass access controls; or use the Services for consumer, personal, family, or household financing.
We may investigate suspected misuse, preserve relevant records, restrict access, reject a submission, or cooperate with lawful requests. These rights do not create a duty to monitor every submission.
Third-party services and payment networks
The Services may connect with jurisdictions, app stores, independent finance and service partners, financial institutions, payment networks, identity providers, cloud services, and other third parties. Their products are governed by their own terms, eligibility rules, privacy practices, operating hours, and availability. GoVendor does not control a third party’s underwriting, certification, review, acceptance, payment decision, uptime, or conduct.
Where a transaction uses Visa Direct or another payment rail, actual fund availability may depend on the receiving financial institution, account type, region, compliance processes, and other factors. Visa and Visa Direct are trademarks of Visa. References to third-party names do not imply government endorsement or that every transaction will use or qualify for that service.
GoVendor intellectual property
The Services, including their software, design, workflows, text, graphics, trademarks, logos, and other content, are owned by GoVendor or its licensors and are protected by applicable law. Subject to these Terms, GoVendor grants you a limited, nonexclusive, nontransferable, revocable right to use the Services for their intended business purpose. No other rights are granted.
Changes, suspension, and termination
We may add, change, suspend, or discontinue features and may restrict or terminate access when reasonably necessary to protect users, comply with law, address risk, prevent misuse, maintain systems, or enforce these Terms. You may stop using the Services at any time, subject to obligations in a separate agreement. Provisions that by their nature should survive termination—including payment, ownership, disclaimers, limitations, and dispute terms—will survive.
Disclaimers
To the fullest extent permitted by law, the Services are provided “as is” and “as available.” GoVendor disclaims implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, and any warranty arising from course of dealing or usage. We do not warrant that the Services will be uninterrupted, error-free, completely secure, accepted by a jurisdiction, or result in payment, approval, financing, a particular processing time, or a business outcome.
Content on the Services is general information and is not legal, tax, accounting, investment, procurement, or financial advice. You are responsible for obtaining advice appropriate to your business and transaction.
Limitation of liability
To the fullest extent permitted by law, GoVendor and its affiliates, officers, employees, licensors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, revenue, contracts, data, goodwill, or business opportunities; or losses arising from a government delay, third-party system, unauthorized access, or reliance on an estimate. GoVendor’s aggregate liability arising from the Services will not exceed the amount you paid GoVendor for the specific Service giving rise to the claim during the 12 months before the event giving rise to liability.
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so some of the above may not apply. Nothing in these Terms limits liability that cannot lawfully be limited.
Indemnification
To the extent permitted by law, you will defend, indemnify, and hold harmless GoVendor and its affiliates, officers, employees, and service providers from third-party claims, losses, liabilities, costs, and reasonable attorneys’ fees arising from your submitted content, misuse of the Services, violation of these Terms, violation of law, or infringement of another party’s rights.
Governing law and disputes
These Terms are governed by the laws of the State of Illinois, without regard to conflict-of-law rules, except where applicable law requires otherwise. Before filing a claim, each party agrees to provide written notice describing the dispute and to make a good-faith effort for 30 days to resolve it informally. Subject to any controlling separate agreement, disputes will be brought in a state or federal court with jurisdiction in Illinois, and each party consents to that jurisdiction and venue.
Changes and contact
We may update these Terms by posting a revised version and changing the “Last updated” date. Material changes may also be communicated through the Services or by email where appropriate. Continued use after the effective date of revised Terms means you accept them, except where additional consent is required by law or a separate agreement.
